What is a Succession Certificate?

A Succession Certificate is a judicial document issued by a Civil Court or District Court under Sections 370 to 390 of the Indian Succession Act, 1925, upon a petition by the legal heirs of a deceased person, authorising the certificate holder(s) to collect and receive the deceased's debts (money owed to the deceased), securities (shares, bonds, debentures, NSC, KVP, FD certificates), and other movable assets. It is the most authoritative succession document in India for movable assets and is required when: (a) no Will exists (intestate succession); (b) no valid nomination exists; (c) the value of assets is large enough that the holding institution (bank, company, MF house) insists on judicial certification before releasing; or (d) there is actual or potential dispute among heirs. The Succession Certificate is critical because it provides statutory protection to the payer: Section 384 of the Indian Succession Act provides that any payment made by a bank, company, or person to a holder of a Succession Certificate is a full discharge — meaning if the bank pays the certified heirs and a previously unknown heir later claims, the bank is protected from liability. This protection is not available when payments are made on the basis of a Legal Heir Certificate (administrative) alone. The process to obtain a Succession Certificate begins with a petition filed by one or more legal heirs in the Civil Court of the district where the deceased was last residing. The court examines the petition, issues a notice to respondents (other potential heirs), publishes a notice in a newspaper calling for objections from the public (typically once in two newspapers), and if no valid objection is received, grants the certificate after 45 days of the last publication. The court-granted certificate specifies the debts and securities for which the certificate is granted — the holder can then approach banks, companies, and depositories with the certificate to claim the assets. The process typically takes 3–6 months in civil courts with normal caseload, though some High Courts have special fast-track succession benches. Bond/surety is typically required by courts before grant, to cover potential subsequent claims.

1Step 1: Petition Drafting & Filing

3Step 3: Newspaper Notice & Citation Period

The court issues a notice to be published in one or two newspapers of wide circulation — calling on anyone with objection to appear within 45 days. This citation period allows unknown heirs, creditors, and third parties to object. If no valid objection is filed within 45 days of the last publication, the court proceeds to grant the certificate.

Before granting the Succession Certificate, the court may require the petitioners to furnish a bond (with or without surety) under Section 376 ensuring they will apply the certificate proceeds properly. Once the bond is executed, the court issues the certified Succession Certificate bearing the court seal.

A Succession Certificate typically takes 3–6 months from petition filing to certificate grant in a district civil court with a normal docket. Fast-track applications before High Courts or Commercial Courts (for large estates) may be faster.

Post-Registration Compliance

Use Certificate Within 12 Months

A Succession Certificate, once granted, should ideally be used within a reasonable time (courts sometimes specify a time limit). Institutions to whom the certificate is presented may query its currency if too old. Present it promptly to all relevant institutions — banks, depositories (CDSL/NSDL), insurance companies, RTO — to claim assets without delay.

Income Tax Clearance for Estate

The legal heir claiming the deceased's estate must ensure all income tax liabilities of the deceased are cleared. The heir should: (a) file the deceased's pending ITRs as legal representative; (b) obtain income tax clearance before distributing estate assets; and (c) disclose inherited assets in their own ITR under Schedule AL. Outstanding income tax of the deceased is a recoverable liability from the estate.

Stamp Duty on Succession Certificate

A Succession Certificate is subject to court fees (paid at filing) in most states. Some states also levy a stamp duty on the certified document itself. This is an estate tax substitute — the court fee is typically 2% of the estate value subject to a ceiling (e.g., Maharashtra caps court fee at ₹75,000). Distribute Assets Per Applicable Personal Law

The Succession Certificate authorises collection of assets but does not determine the shares of heirs — that is governed by applicable personal law (Hindu Succession Act, Muslim Personal Law, Indian Succession Act). Upon collecting assets, the holder must distribute them to all heirs in their legally due shares. Wrongful retention by one heir is actionable before the Civil Court.
