What is Change of Registered Office?
The registered office of a company is its official address where all legal and official communication from the government and courts is sent. Under Section 12 of the Companies Act, 2013, every company must have a registered office in India. The procedure for changing the registered office depends on the nature of the change: (1) Within the same city/town/village — requires Board Resolution and Form INC-22; (2) Outside the current city but within the same state — requires Board Resolution, Special Resolution at EGM, MGT-14, and INC-22 (or INC-23 if it involves ROC jurisdiction change); (3) Change to another state — requires Special Resolution, Central Government approval via Regional Director (INC-23), newspaper advertisement, and creditor notices. The most complex case is inter-state change, which involves multiple filings and approvals from the Regional Director.

Types of Registered Office Change
Within Same City — INC-22
Simple address change within the same city, town, or village. Requires Board Resolution and Form INC-22 filed within 30 days of the change.
Within Same State (Different ROC)
Change from one ROC jurisdiction to another within the same state. Requires Special Resolution, MGT-14, INC-23 filed with Regional Director.
To Another State — INC-23
Requires Special Resolution, Regional Director approval via INC-23, newspaper notices in 2 newspapers, creditor objection window, and MOA amendment.
MOA Registered Office Clause
Changing the state requires amending the MOA (Registered Office clause). Central Government approval through Regional Director is mandatory under Section 13.

File Special Resolution in MGT-14 within 30 days. File Form INC-22 with proof of new address. For state change, file INC-23 with Regional Director.
4Step 4: Obtain ROC / RD Approval
ROC updates records for city/state changes. Regional Director approves inter-state change after considering creditor objections. Fresh COI may be issued.
