CS Audit and Report
Secretarial audit refers to an audit to check compliance of various legislations including the companies act and other corporate and economic laws applicable to the company. It is a part of total compliance management in an organization. It is the audit of non-financial aspects of the company. The secretarial audit report shall be prepared only by a Practicing Company Secretary. The report shall be prepared in Form MR 3 and shall be annex with the Board’s Report of the company.

- Filings with RBI (if there is a foreign investment) and other statutory departments.
- Registers maintained under Labour laws.
- Admissions and statement for code of conduct received from the directors.
- Remuneration with sitting fees paid to directors.
- Particulars of CSR amount.
- SAST disclosures.
- Bank account details for dividend.
- Details of ECB Returns, in case of foreign borrowings in the company.
- Initial discussions.
- Identifying scope and objectives.
- Obtaining of formal engagement letter.
- Meeting with teams/ persons involved.
- Planning of audit programme.
- Preparation of working papers.
- Observations/ discussions with management.
- Summary of audit findings and subsequent discussions.
- Secretarial audit report.
- Follow up to be taken.
